1. Acceptance of Terms

By accessing or using Ultragoon ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

Ultragoon provides AI-powered image transformation services. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. Account Registration & Age Verification

To use the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account

By creating an account you represent and warrant that you meet the minimum age requirement. We may require additional age or identity verification at any time, and may refuse, suspend, or terminate access where we cannot reasonably confirm eligibility. Providing false information about your age is a material breach of these Terms.

4. User Representations, Consent & Rights

You are solely responsible for every image you upload or generate. For each image you submit to the Service, you represent and warrant that:

• You own the image or have all rights, licenses, and permissions necessary to use and process it
• You have obtained the explicit, informed consent of every identifiable individual depicted for the image to be uploaded, transformed, stored, and processed by the Service
• You will not upload images of any person who is, or appears to be, a minor
• Your use of the image and any resulting output does not violate any law or the rights of any third party, including rights of privacy, publicity, and intellectual property

You bear full legal responsibility and liability for any image processed under your account, including any claim arising from a lack of consent or rights. We do not pre-screen for, and cannot verify, the consent or rights associated with your uploads.

5. Prohibited Activities

You agree NOT to use the Service to:

• Create, upload, or process child sexual abuse material (CSAM)
• Create or distribute revenge pornography or non-consensual intimate images
• Create deceptive deepfakes or synthetic media to harass, defame, defraud, or harm any individual
• Harass, threaten, or abuse any individual
• Process images of any identifiable person without their consent
• Violate any local, state, federal, or international law
• Infringe on intellectual property rights
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any commercial purpose without authorization

6. AI-Generated Content & Deepfakes

Output produced by the Service is artificially generated or altered. You acknowledge and agree that:

• Output may be inaccurate, unexpected, or differ from your input, and is provided without any guarantee of result
• You are responsible for complying with all laws requiring the disclosure or labeling of AI-generated or synthetic media, including any obligation to indicate that content has been artificially created or altered
• You will not present AI-generated content as authentic in any way that is unlawful, deceptive, or harmful
• Creating synthetic intimate or sexual imagery of a real, identifiable person without their consent is strictly prohibited and may be a criminal offense in your jurisdiction

7. Content Monitoring & Review

All content processed through the Service is subject to review. By using the Service, you acknowledge and agree that:

• We employ automated systems to detect illegal or prohibited content
• Manual review may be conducted on flagged content
• We have no obligation to monitor content but reserve the right to do so
• Illegal content will be reported to law enforcement

8. Law Enforcement & Legal Compliance

We cooperate fully with law enforcement. If we detect or are notified of illegal activity:

• We will immediately report to appropriate authorities
• We will preserve all relevant evidence
• We will provide full cooperation including user data, IP addresses, and timestamps
• CSAM incidents are reported to NCMEC (National Center for Missing & Exploited Children)

9. Data Collection, Privacy & Biometric Data

We collect and store the following information:

• Email address and account information
• IP addresses and browser information
• Login timestamps and activity logs
• Uploaded images and processing history
• Payment and transaction data

Images you upload may contain faces or other features that can constitute personal or biometric data under laws such as the GDPR, CCPA/CPRA, and state biometric privacy statutes. By uploading such images, you represent that you have the lawful basis and any consent required to have us process this data on your behalf, and you instruct us to do so for the purpose of providing the Service. Depending on your location, you may have rights to access, correct, delete, or restrict processing of your personal data; requests can be made via the contact details below. We retain images and related data only as long as necessary to provide the Service or as required for legal compliance and safety.

This data may be disclosed to law enforcement, legal authorities, or third parties when required by law or when we have a good faith belief it's necessary to prevent illegal activity or protect rights and safety.

10. Copyright & DMCA Takedown

We respect intellectual property rights. If you believe content processed or made available through the Service infringes your copyright, send a notice to our designated agent including: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement that the information is accurate, and your physical or electronic signature.

Send DMCA notices to: legal@ultragoon.co. We will respond to valid notices and may remove infringing material and terminate repeat infringers.

11. Credits & Payment

The Service operates on a credit-based system:

• Credits are purchased through our payment processor
• Credits are non-refundable except as required by law
• Credits have no cash value
• We reserve the right to adjust credit pricing at any time
• Unused credits may expire or be forfeited upon account termination

Nothing in these Terms limits any non-waivable statutory consumer or refund rights you may have under the law of your jurisdiction.

12. Account Termination

We may terminate or suspend your account immediately, without notice, for:

• Violation of these Terms of Service
• Violation of our Fair Use Policy
• Illegal activity or suspected illegal activity
• Any reason at our sole discretion

Where termination is not due to your breach or unlawful conduct, any forfeiture of paid, unused credits will be applied only to the extent permitted by applicable law. Upon termination you lose access to the Service, and you remain liable for all activity conducted under your account.

13. Intellectual Property

You retain ownership of your original images. However, by using the Service, you grant us:

• A license to process, store, and display your images as necessary to provide the Service
• The right to use anonymized/aggregated data for service improvement
• The right to retain images as required for legal compliance and safety

Generated images are provided "as-is" and we make no claims regarding their copyright status or ownership.

14. Disclaimers & Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Actions of other users
• Third-party content or services

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or any other liability that applicable law does not permit to be waived.

15. Indemnification

You agree to indemnify and hold harmless Ultragoon, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

16. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California. This choice of forum does not deprive you of any protection afforded by mandatory consumer-protection laws of your country of residence.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. We will notify users of material changes via email or Service notification.
